Министарство за државну управу и локалну самоуправу, на основу члана 13. став 1.
Закона о удруживању rpaђaнa у удружења, друштвене организациjе и политичке организациjе коjи се осниваjу за териториjу Социjалистичке Федеративне Републике Jугославиjе ("Службени лист СФРJ", броj 42/90 и "Службени лист CPJ", бр. 16/93,31/93,41/93,50/93,24/94,28/96 и 73/2000-др. закон), члана 8. Закона о министарствима ("Службени гласник РС", броj 43/2007), члана 23. став 2. Закона о државноj управи ("Службени гласник РС", броj 7912005) и члана 192. став 1. Закона о општем управном поступку ("Службени лист CPJ", бр. 33/97 и 31/2001), по захтеву адвоката Деjана Дучића из Београда за упис Удружења корпоративних директора Србиjе у Регистар удружења, друштвених организациjа и политичких организациjа, доноси

РЕШЕЊЕ

Удружење корпоративних директора Србиjе, са седиштем у Београду, Булевар Михаjла Пупина броj 147, уписуjе се у Регистар удружења, друштвених организациjа и политичких организациjа, на регистарском листу броj 4284 под редним броjем 12283, као удружење rpaђaнa. Лице овлашћено да заступа и представља Удружење корпоративних директора Србиjе je Топлица Спасоjевић из Београда.

Образложење

Адвокат Деjан Дучић, као овлашћено лице за вршење послова уписа у Регистар, поднео je
овом министарству 07.06.2007. године захтев за упис Удружења корпоративних директора Србиjе у Регистар удружења, друштвених организациjа и политичких организациjа. Уз захтев доставио je приjаву оснивања и деловања организациjе, Записник о раду оснивачке скупштине, Одлуку о оснивању Удружења, Статут, Попис оснивача и Одлуку о давању овлашћења за заступање Удружења.
Увидом у достављену документациjу yтвбрђено je да су испуњени услови за оснивање
Удружења у погледу броjа rpaђaнa коjи могу основати удружења rpaђaнa и садржине одлуке о
оснивању, коjи су прописани у чл. 9. и 10. Закона о удруживању rpaђaнa у удружења, друштвене организациjе и политичке организациjе коjи се осниваjу за териториjу Социjалистичке Федеративне Републике Jугославиjе "Службени лист СФРJ", броj 42/90 и "Службени лист CPJ", бр. 16/93,31/93,41/93,50/93,24/94,28/96 и 73/2000. Увидом у Статут Удружења утврђено je да су испуњени услови из чл.2.и 6.овог закона.
Имаjући у виду изнето, решено je као у диспозитиву решења.
Такса за ово решење у износу од 4 520,00 динара наплаћена jе на основу тарифног броjа 65. Закона о републичким административним таксам а ("Службени гласник РС", бр. 43/2003, 51/2003, 5312004,42/2005,61/2005, 101/2005,42/2006 и 47/2007).
Упутство о правном средству: Ово решење je коначно у управном поступку, али се против њега може тужбом покренути управни спор пред Врховним судом Србиjе у Београду, у року од 30 дана од дана достављања решења.

Rules

RULES ON ACQUIRING AND RENEWING
THE STATUS OF A CORPORATE DIRECTOR


Article 1
Purpose
These rules regulate the conditions and the procedure of admission into the Serbian Association of Corporate Directors (hereinafter: the Association) and the issuance and renewal of the relevant certificates.

Article 2
Membership
Membership in the Association is acquired pursuant to the prescribed application and approval procedures.
Founding members accede to the Association by signing the membership form. A signed membership form is an expression of free will of an individual who accedes to the Association by accepting its Statute and the mission, the Code of Ethics and the Corporate Governance Code adopted by the Association. Founding members endorse the OECD (Organisation for Economic Co-operation and Development) Principles of Corporate Governance.
Members may be individuals with a status of corporate director (members of management and supervisory boards), as well as general managers and deputy general managers of companies, banks and other corporate-type organizations (insurance companies, investment funds, pension funds, brokerage firms, etc) operating on the territory of the Republic of Serbia.
One founding member is a representative of a group of partners in certified auditing companies, consulting companies and law firms.
Other members acquire membership on the basis of the prescribed admissions procedure.
The admissions procedure consists of registration of candidates for membership or associate membership, fulfillment of conditions for acquiring the status of a member or an associate member and making decision about admission to membership or associate membership.

Article 3
Candidates for membership
The candidates for membership may be:
- corporate directors (members of the boards of managing directors, supervisory board, general managers and deputy general managers of companies, banks and other corporate-type organizations);
- eminent executives of companies, banks and other corporate-type organizations;
- university professors.
Eminent managers are defined as members of executive boards of directors and managers of business functions in large and medium-size enterprises as classified by the Law on Accounting, as well as bank managers with extensive and medium authority and executives in other corporate-type organizations.
University professors in the scope of these Rules are defined as full or associate university professors engaged in corporate governance or a related area of study.

Article 4
Candidates for Associate Membership
A candidate for associate membership in the Association may be a partner in a certified auditing company, consulting company or law firm.
Article 5
Evidence of Membership
The principal evidence of membership in the Association is the certificate. In addition to the general title of "Certificate of Corporate Director," the certificate also specifies membership status as "Founding Member," "Member" or "Associate Member" and lists the completed training courses.
The Certificate is issued in Serbian and English language and it is valid for two years. The Certificate is signed by the President of the Association.

Besides the Certificate, the membership in the Association is acknowledged on the Internet presentation of the Association and in the membership database. Candidates for membership and associate membership also have the right to be included into the Association's database.

Article 6
Center for Corporate Governance
The Association delegates to the Center for Corporate Governance [Institute of Directors] the tasks of recruiting, database management, monitoring and training of corporate directors. This is a professional forum established by the Alliance of Economists of Serbia to serve the needs of the Association.
The Center for Corporate Governance comprises seven members. Members of the Center for Corporate Governance are appointed for a five year term.

Article 7
Center for Corporate Governance – Activities
The Center for Corporate Governance engages in the following activities:
– creating the database of founding members, members, associate members and candidates;
– preparation, organization and conducting of the Programme of Education and Training;
– evaluation of training programs that are not conducted by the Center for Corporate Governance;
– testing knowledge of candidates for membership or associate membership;
– submitting confirmation letters according the fulfillment of conditions to the relevant bodies of the Association for admission of candidates;
– submitting proposals to the relevant bodies of the Association for renewal of membership status.

Article 8
Programme of Education and Training
Acquiring and maintaining a membership status in the Association requires participation in the Programme of Education and Training.
The Programme of Education and Training consists of a general training in economics and of a specialized training in different areas of corporate governance.
The general training includes economic topics analyzed in the framework of conferences organized by the Alliance of Economists of Serbia.
The specialized training includes seminars in five areas of corporate governance:
1. Strategic Management
2. Financial Management
3. Managerial Accounting
4. Business Law
5. Investments.
In addition to members of the Center for Corporate Governance, external experts and eminent directors (director-to-director program) from the country and abroad are engaged in conducting the trainings.
Seminars are held as one-day or two-day events and are accorded a certain number of points.
Members and candidates for membership in the Association are encouraged to participate in training programs outside the Center for Corporate Governance but may acquire a maximum of 40% of total training points required for renewing or acquiring membership in the Association in programs outside the Center for corporate governance.

Renewal of Membership – Conditions
Founding members, members and associate members, on the basis of a notification issued by Center for Corporate Governance and at least 30 days prior to the expiration of the Certificate of corporate director, must give their consent for the initiation of procedure for renewal of membership status in the Association by applying the appropriate request form.
In order to renew the status of a member or associate member of the Association, the individual must fulfill three conditions.
Firstly, the Code of Ethics of the Association and the adopted Code of Corporate Governance must be respected in the period of member's or associate member's participation in the Association. The Association's Ethics Committee monitors the member's or candidate member's behavior in this regard.
Secondly, participation in at least two conferences organized by the Alliance of Economists of Serbia within a two-year period is required.
Thirdly, participation in specialized seminars on corporate governance (at least four seminars in at least three areas of specialization in corporate governance within a two-year period) is required. A certain number of seminars organized by the Center for Corporate Governance may be substituted by relevant seminars organized by similar organizations.

Article 10
Renewal of Membership – Procedure
When the founding member, member or associate member whose certificate has expired fulfils the conditions defined by the Programme of Education and Training, the Center for Corporate Governance submits a proposal for renewal of membership to the Executive Board of the Association, which consults the Ethics Committee prior to adopting the final decision on extending the status.

Article 11
Admission – Conditions
Prior to acquiring the status of a member of the Association, an individual has to be a candidate for membership in the Association for at least one calendar year.
In order to acquire the status of a members or associate member of the Association, the individual must fulfill three conditions.
Firstly, the Code of Ethics of the Association and the adopted Code of Corporate Governance must be respected in the period of member's or associate member's participation in the Association. The Association's Ethics Committee monitors the member's or candidate member's behavior in this regard.
Secondly, participation in at least two conferences organized by the Alliance of Economists of Serbia within a two-year period is required.
Thirdly, participation in specialized seminars on corporate governance - at least six seminars in four areas of specialization in corporate governance within a one-year period, a passed examination or at least eight seminars in five areas of specialization in corporate governance within a one-year period, with a passed examination is required. A certain number of seminars organized by the Center for Corporate Governance may be substituted by relevant seminars organized by similar organizations.

Article 12
Admission – Procedure
When a candidate for membership or associate membership fulfils the Programme of Education and Training conditions, the Center for Corporate Governance submits a proposal to the Admissions Committee of the Association, which, in line with the policies of the Association and the opinion of the Ethics Committee, forwards its proposal to the Executive Committee and the General Assembly.
The General Assembly decides on the individual's admission to the Association by a qualified majority of the votes present (2/3 plus one vote of members present).
The General Assembly may reject a candidate by providing an explanation in writing. Candidate has a right to file a complaint against the decision of The General Assembly within a period of 8 days. After receipt of the complaint the General Assembly shall take under consideration statements in the complaint, reconsider its decision and make the final decision within a period of 60 days upon the receipt.

Article 13
The General Assembly has the authority to make changes and amendments to these Rules, following the procedure established for changing the Statute of the Association.
The General Assembly has the authority to give the authentic interpretations of these Rules.


Article 14
These Rules come into force the day of the Association's registration by the competent authority.

ПРАВИЛНИК О СТИЦАЊУ И ОБНАВЉАЊУ СТАТУСА КОРПОРАТИВНОГ ДИРЕКТОРА


Члан 1.
Сврха правилника
Овим правилником се уређују услови и поступак пријема у Удружење корпоративних директора Србије (у даљем тексту: Удружење) као и издавање и обнављање одговарајућег Уверења.

Члан 2.
Чланови Удружења
Чланство у Удружењу се стиче приступањем и пријемом.
Оснивачи приступају Удружењу потписивањем приступнице. Приступница представља израз слободне воље лица која приступају Удружењу прихватањем његовог статута и циљева, етичког кодекса и усвојеног кодекса корпоративног управљања. Оснивачи прихватају ОЕБС (Организација за европску безбедност и сарадњу) Принципе корпоративног управљања.
Удружењу може приступити лице које има својство члана одбора директора (управни и надзорни одбор) као и генералног директора и заменика генералног директора у предузећима, банкама и другим организацијама корпоративног типа (осигуравајућа друштва, инвестициони фондови, пензиони фондови, брокери и сл.) које послују на територији Републике Србије.
Међу основачима се налази и представник партнера овлашћених ревизора, пословних консултаната и адвокатских канцеларија.
Остали чланови стичу чланство у Удружењу на бази поступка пријема.
Пријем у чланство обухвата евидентирање кандидата за чланове и придружене чланове, испуњавање услова за пријем чланова и придружених чланова и доношење одлуке о пријему у чланство и придружено чланство.

Члан 3.
Кандидати за чланове
Кандидати за члана Удружења су:
– чланови одбора директора, генерални директори и заменици генералних директора предузећа, банака и других организација корпоративног типа;
– угледни менаџери предузећа, банака и других организација корпоративног типа;
– професори Универзитета.
Под угледним менаџерима подразумевају се чланови извршних одбора директора и менаџери пословних функција у великим и средњим предузећима према класификацији Закона о рачуноводству, у банкама са великим и средњим овлашћењима као и у другим значајним организацијама корпоративног типа.
Под професорима универзитета у смислу овог правилника подразумевају се редовни и ванредни професори Универзитета који се теоријски и практично баве корпоративним управљањем или додирним научним областима.

Члан 4.
Кандидати за придружене чланове
Удружењу може приступити лице са статусом придруженог члана које се налази на позицији партнера у ревизорским и консултантским кућама као и адвокатским канцеларијама.

Члан 5.
Докази о чланству
Основни доказ о чланству у Удружењу је уверење. Поред опште одредбе «Уверење корпоративног директора», уверење садржи и спецификацију «оснивач члан», «члан» и «придружени члан» као и листу специјалистичких дисциплина из програма обуке.
Уверење се издаје на српском и енглеском језику и важи две године. Уверење потписује председник Удружења.
Поред Уверења, чланство у Удружења се доказује и на сајту Удружења, односно у бази података где су одговарајући подаци структурирани у одређеном формату. Право на евидентирање у бази података Удружења имају и кандидати за чланове и приружене чланове.

Члан 6.
Центар за корпоративно управљање
Удружење преноси на Центар за корпоративно управљање послове регрутовања, евидентирања, праћења и обуке корпоративних директора. У питању је стручно тело које за потребе Удружења формира Савез економиста Србије.
Центар за корпоративно управљање чини седам чланова. Мандат чланова је пет године.

Члан 7.
Делатности Центра за корпоративно управљање
Делатности Центра за корпоративно управљање су:
– формирање базе података оснивача, чланова, придружених чланова и кандидата;
– припрема, организација и реализација програма обуке;
– валоризација програма обуке у чијој реализацији не учествује Центар за корпоративно управљање;
– провера знања кандидата за чланове или придружене чланове;
– упућивање потврде о испуњености услова органима Удружења за пријем кандидата;
– упућивање предлога органима Удружења за обнову статуса чланова.

Члан 8.
Програм обуке
Стицање и одржавање статуса у Удружењу подразумева учешће у програму обуке.
Програм обуке садржи општи део из економије и специјалистички део по дисциплинама корпоративног управљања.
Општи део обухвата теме из економије које се анализирају у оквиру конференција које организује Савез економиста Србије.
Обука из специфичних дисциплина корпоративног управљања обухвата семинаре на теме из следећих области:
1. Стратегијско управљање
2. Управљање финансијама
3. Управљачко рачуноводство
4. Пословно право
5. Инвестиције.
У реализацији обуке, поред чланова Центра за корпоративно управљање, учествују спољни стручњаци као и угледни директори (програм „директор према директорима“) из земље и иностранства.
Семинари се одржавају као једнодневни и дводневни и бодују се.
Чланови и кандидати Удружења се подстичу на учешће у програмима обуке ван Центра за корпоративно управљање с тим да је број бодова које чланови и кандидати стичу ван Центра за корпоративно управљање максимално 40% бодова потребних за обнављање или стицање статуса члана Удружења.

Члан 9.
Услови обнављања чланства
Оснивачи чланови, чланови и придружени чланови на најаву Центра за корпоративно управљање, а најмање 30 дана пре истека важности уверења корпоративног директора, морају дати сагласност за покретање поступка обнове статуса у Удружењу попуњавањем одговарајућег захтева.
За обнављање статуса члана или придруженог члана Удружења, потребно је кумулативно испуњење три услова.
Прво, поштовање етичког кодекса Удружења и прихваћеног кодекса корпоративног управљања у периоду статуса члана или придруженог члана Удружења. Понашање члана или придруженог члана по овим питањима прати и анализира Етички комитет Удружења.
Друго, учешће на најмање две конференције које организује Савез економиста Србије у периоду од две године.
Треће, учешће на специјалистичким семинарима из корпоративног управљања и то најмање на четири семинара из најмање три специјализоване области корпоративног управљања у периоду од две године. Један број специјалистичких семинара које организује Центар за корпоративно управљање може бити замењен одговарајућим семинарима које организују сличне организације.

Члан 10.
Поступак обнављања чланства
Када оснивач члан, члан или придружени члан коме је истекло уверење испуни услове дефинисане програмом обуке, Центар за корпоративно управљање иницира предлог за обнављање статуса Извршном одбору Удружења који пре коначне одлуке о продужењу статуса консултује Етички комитет.
Члан 11.
Услови пријема чланова
Пре стицања статуса члана или придруженог члана, лице мора најмање годину дана бити у статусу кандидата.
Чланство у Удружењу захтева кумулативно испуњење три услова.
Прво, поштовање Етичког кодекса Удружења и прихваћеног кодекса корпоративног управљања у периоду статуса кандидата за члана или придруженог члана. Понашање кандидата по овим питањима прати и анализира Етички комитет Удружења.
Друго, учешће на најмање две конференције које организује Савез економиста Србије у периоду од две године.
Треће, учешће на специјалистичким семинарима из корпоративног управљања и то најмање на шест семинара из најмање четири специјализоване области корпоративног управљања у периоду од годину дана уз положени тест знања или на најмање осам курсева из пет области уз положени тест знања. Један број специјалистичких семинара које организује Центар за корпоративно управљање може бити замењен одговарајућим семинарима које организују сличне организације.

Члан 12.
Поступак пријема чланова
Када кандидат за члана или придруженог члана испуни услове програма обуке, Центар за корпоративно управљање иницира предлог Комисији за пријем Удружења која, у складу са политиком Удружења и мишљењем Етичког комитета, свој предлог прослеђује Извршном одбору и Скупштини.
Одлуку о пријему у Удружење доноси Скупштина квалификованом већином (2/3 плус један глас од присутних чланова Скупштине).
Скупштина може одбити кандидата са писменим образложењем. Кандидат има право жалбе на одлуку Скупштине у року од 8 дана. По пријему жалбе Скупштина је дужна да на основу жалбених навода поново размотри своју одлуку и донесе коначну одлуку у року од 60 дана.

Члан 13.
Измене и допуне овог Правилника врши Скупштина Удружења на начин и по поступку предвиђеном за промену статута Удружења.
Аутентична тумачења овог правилника даје Скупштина.

Члан 14.
Правилник ступа на снагу даном регистрације Удружења код надлежног органа.

CODE OF ETHICS
OF THE SERBIAN ASSOCIATION OF CORPORATE DIRECTORS


The following Code of Ethics reflects the purpose and the character of the the Serbian Association of Corporate Directors as a non-party, non-governmental and non-profit organization whose mission is to enhance the quality of corporate and public governance in Serbia.
The Code of Ethics is intended to provide a guidance on ethical decision-making by corporate directors, going beyond compliance with laws and regulations and embracing the spirit of the law. Ethical behavior is considered to be the best practice in corporate governance and it is compulsory for all members of the Serbian Association of Corporate Directors. Prior to acquiring a status of a member or an associate member all candidates for membership or associate membership shall be fully informed about The Code of Ethics of the Serbian Association of Corporate Directors.

The Code of Ethics stipulates the following norms of behavior:

1) Enhancing the image of one's organization by complying with the spirit and the letter of all applicable laws, regulations and rules, the endorsed Code of Corporate Governance and the best practices in this area;

2) Strong commitment to promote triple bottom line approach to business covering the economic, social and environmental dimensions of the organization's activities;

3) Provision of accurate and timely information to the owners and other interested parties about all the facts relevant to the organization;

4) Avoiding conflicts of interest, particularly relating to the following:
a) misuse of the organization’s funds;
b) receiving or offering a private service on the basis of one's position within the organization;
c) discussion of confidential information owned by the organization for personal benefit.

5) Accountability and respect of professional norms and standards in terms of stewardship of resources, in particular those concerning the distribution of profit and compensation system;

6) Continuous improvement of one's knowledge and skills and commitment to share these skills with managers, employees and other interested parties;

7) Commitment to cooperation and acting in good faith, with due respect and fairness vis-à-vis the other members of the Serbian Association of Corporate Directors.

Members and candidates of the Serbian Association of Corporate Directors are obliged to apply the above mentioned norms of behavior, promoting ethical and efficient corporate governance. The Ethics Committee monitors the adherence to the Code of Ethics and may also prescribe sanctions in case of any breach of its principles.

ЕТИЧКИ КОДЕКС
УДРУЖЕЊА КОРПОРАТИВНИХ ДИРЕКТОРА СРБИЈЕ


Овај документ изражава смисао и карактер Удружења корпоративних директора Србије (УКДС) као нестраначког, невладиног и непрофитног удружења чија је мисија унапређење квалитета корпоративног и јавног управљања у Србији.
Етички кодекс представља водич за етичко понашање корпоративних директора при доношењу одлука у духу закона и других прописа и кодекса. Етичко понашање се сматра најбољом праксом понашања корпоративних директора и обавезујуће је за чланове УКДС.
Сви кандидати за члана и придруженог члана дужни су да се пре пријема у чланство и придружено чланство, упознају са Етичким кодексом УКДС.

Етички кодекс предвиђа следеће норме понашања:

1) Развој представе о организацији којом руководе деловањем у складу са словом и духом свих закона и прописа, изабраним кодексом корпоративног управљања као и најбољом праксом у области;

2) Неограничен активизам у коришћењу могућности за остварење економских циљева организације уз недвосмислено поштовање ширих друштвених циљева као и циљева у вези са заштитом околине;

3) Потпуно и благовремено обавештавање власника и других заинтересованих страна о свим чињеницама релевантним за позицију организације;

4) Избегавање сукоба интереса, а посебно у вези са:
а) злоупотребом средстава организације;
б) примањем или нуђењем приватне услуге на основу позиције у организацији;
ц) изношења поверљивих информација у власништву организације за личну корист.

5) Одговорност и поштовање професионалних стандарда и правила при употреби средстава организације а посебно у вези политика расподеле резултата пословања и система компензација;

6) Стално унапређење сопственог знања и умећа и пренос тих вештина на менаџере, запослене као и друге заинтересоване стране;

7) Исказивање поштовања, спремност на сарадњу и правичност у односима са другим члановима УКДС.

Чланови као и кандидати за чланове УКДС су обавезни да у свом деловању примењују горе наведена правила и тиме шире праксу етичког и делотворног корпоративног управљања. Етички комитет надзире поштовање Етичког кодекса и и прописује санкције за непоштовање његових одредби.

Pursuant to Article 6 and Article 10 of the Law on Association of Citizens into Associations, Social Organizations and Political Organizations (Official Gazette of SFRY, No. 42/90), the Founding General Assembly of the Serbian Association of Corporate Directors, at the session held on May 23 , 2007 in Belgrade, adopted the

STATUTE
OF THE SERBIAN ASSOCIATION OF CORPORATE DIRECTORS

I GENERAL PROVISIONS
Article 1
Mission
The Serbian Association of Corporate Directors (hereinafter Association) is a non-party, non-governmental and non-profit association, with the mission to enhance the quality of corporate and public governance in Serbia.
A corporate director is defined as a member of the board of directors (management board and supervisory board) as well as a general manager and deputy general manager of companies, banks and other corporate-type organizations.
Article 2
Objectives
The Association’s objectives are to:
1. Develop efficient and ethical corporate governance in order to raise the performance levels of the corporate sector;
2. Harmonize corporate and public governance with best practices in order to enhance competitiveness of the national economy and economic freedoms, while decreasing corruption;
3. Promote triple bottom line approach to business covering the economic, social and environmental dimensions of the organization's activities.

Article 3
Activities
In order to meet its objectives, the Association envisages the following activities:
– collection, structuring and exchange of data on existing and potential corporate directors in Serbia;
– recruitment, training and monitoring of performances and behavior of corporate directors;
– knowledge-sharing by organizing conferences, seminars, round tables and workshops;
– submitting proposals to regulatory bodies and other interested parties with a goal of facilitating the work of corporate directors;
– publishing professional and scientific papers, case studies and similar publications;
– collaboration and participation in relevant international organizations and associations.

Article 4
Basic facts
The Association is a legal entity, which is represented by the President of the Association.
The full name of the Association is: the Serbian Association of Corporate Directors.
Headquarters of the Association are located in Belgrade, Bul. Mihajla Pupina 147.
The Association operates in the Republic of Serbia.

Article 5
Emblem, Seal and Memorandum
The Association has an emblem.


The emblem of the Association is a broken arrow in the shape of a triangle at the top of which the abbreviation of the name of the Association is written in Serbian Cyrillic script: УКДС. The emblem may be used in its full-colour format or in black and white
The Association has a seal. The seal is circular and it reads УКДС, written in Serbian Cyrillic script.
The Association has a memorandum. The memorandum features the emblem with the address, phone number and email address.

Article 6
Collaboration with other organizations
In order to achieve its objectives, the Association collaborates with professional, scientific and educational institutions, as well as other relevant organizations in the country and abroad.
Special type of cooperation is established with the Alliance of Economists of Serbia, which provides office space, administrative support and forms the Center for Corporate Governance (or Institute of Directors). The Center for Corporate Governance is a professional forum, which manages the database, recruits, and trains corporate directors, as well as undertakes other activities on behalf of the Association. The relationship between the Association and the Alliance of Economists of Serbia is regulated on a contractual basis.
The Association may join similar international organizations and associations, which is decided by the General Assembly. Enrollment in international organizations and associations is registered with the relevant state authorities within 30 days, pursuant to the law.

Article 7
Transparency
The work of the Association shall be public.
The Association will inform the wider public about its activities indirectly, by means of relevant print and electronic newsletters.
All official documents, important decisions and database of the Association will be posted on the Association's Internet presentation.


II MEMBERSHIP

Article 8
Structure of the Association
The Association comprises founding members, members and associate members.
With the aim of developing the Association further, candidates (for membership and associate membership) are selected and monitored.
Founding members, members and associate members confirm with a written statement that they accept the Statute and the objectives of the Association, and vouch to behave in line with the Code of Ethics and the Corporate Governance Code adopted by the Association.

Article 9
Founding Members
The status of a founding member is acquired pursuant to the law.
The founding members of the Association are corporate directors. One founding member is a representative of a group of partners in certified auditing companies, consulting companies and law firms.
The founding member of the Association will obtain a corporate director certificate denoted: "Founding Member." The certificate is valid for two years.

Article 10
Members
A member of the Association may be a corporate director who fulfils the conditions outlined in the Rules on Acquiring and Renewing the Status of a Corporate Director.
Admissions Committee will assess the fulfillment of the conditions based on the confirmation letter issued by the Center for Corporate Governance and the opinion letter issued by the Ethics Committee. The Executive Board of the Association approves the proposal of the Admissions Committee.
Elected member will obtain a corporate director certificate denoted: “Member”. The certificate is valid for two years.



Article 11
Associate Members
An associate member of the Association may be a partner in a certified auditing company, consulting company or law firm who fulfils the conditions outlined in the Rules on Acquiring and Renewing the Status of a Corporate Director.
Admissions Committee will assess the fulfillment of the conditions based on the confirmation letter issued by the Center for Corporate Governance and the opinion letter issued by the Ethics Committee. The Executive Board of the Association approves the proposal of the Admissions Committee.
Elected member will obtain a corporate director certificate denoted: “Associate Member”. The certificate is valid for two years.

Article 12
Candidates for membership
A candidate for membership may be a corporate director, university professor engaged in corporate governance or a related area of study, as well as eminent executives. Criteria for acquiring the candidate status are defined more precisely in the Rules on Acquiring and Renewing the Status of a Corporate Director.
Prior to acquiring the status of a member of the Association, an individual has to be candidate for membership in the Association for at least one calendar year, participating in the activities of the Center for Corporate Governance pursuant to the provisions of the Rules on Acquiring and Renewing the Status of a Corporate Director. During this period candidacy status with a brief biography of the candidate is made available at the Association’s Internet presentation.

Candidates for associate membership
A candidate for associate membership in the Association may be a partner in a certified auditing company, consulting company or law firm.
Prior to acquiring the status of associate member of the Association, an individual has to be a candidate for associate membership in the Association for at least one calendar year, participating in the activities of the Center for Corporate Governance pursuant to the provisions of the Rules on Acquiring and Renewing the Status of a Corporate Director. During this period candidacy status with a brief biography of the candidate is made available at the Association’s Internet presentation.

Article 14
Membership renewal
Founding member, member or associate member can renew his/her status upon expiration of the certificate denoting membership in the association. Conditions for membership renewal are defined more precisely in the Rules on Acquiring and Renewing the Status of a Corporate Director.
The Executive Board of the Association renews membership status upon proposal of the Center for Corporate Governance and approval of the Ethics Committee.

Article 15
Termination of membership
Member and associate member may exit from the Association by submitting a written statement of his or her exit from the Association.
Membership in the Association may be terminated due to member’s long-lasting inactivity, or member’s fundamental breach of the Statute, Code of Ethics and endorsed Code of Corporate Governance.
The General Assembly, upon the recommendation of the Executive Board, decides on the termination of membership.
Candidate for a status of a member or an associate member may submit a written request to have his/her name removed from the membership register or from the list posted on the Internet presentation of the Association .
Article 16
Members’ rights
Founding members, members and associate members are entitled to:
1. corporate director certificate with extension “founding member”, “member” and “associate member”;
2. participate on an equal basis in achieving the objectives of the Association;
3. elect and be elected in the bodies of Association;
4. participate in the Programme of Education and Training organized by the Centre for Corporate Governance and other activities of the Alliance of Economists of Serbia;
5. be duly informed about the activities of Association.

Article 17
Members’ obligations
Members and associate members are obliged to:
1. respect this Statute, Code of Ethics and the endorsed Code of Corporate Governance, which are integral parts of this Statute;
2. actively contribute to the achievement of the goals of Association;
3. perform other tasks entrusted to him/her by the bodies of the Association:
4. pay membership subscription.


III GOVERNING BODIES

Article 18
Governing bodies and committees
Association’s governing bodies are General Assembly, President, Vice President, Executive Board and Supervisory Board.
In order to accomplish its mission, the Association also establishes the Ethics Committee and the Admissions Committee.

Article 19
General Assembly
The Association’s General Assembly comprises founding members, members and associate members.
The General Assembly will convene at least once a year.
The General Assembly may also hold extraordinary sessions upon recommendation of the Executive Board or at the written request submitted by a minimum of one third of all members.

Article 20
General Assembly - Authority
The General Assembly of the Association shall:
1. adopt the Statute and any amendments to the Statute;
2. consider and adopt the proposed annual scope of work and the financial plan;
3. consider and adopt the Programme of Education and Training of the Center for Corporate Governance;
4. consider and adopt the financial report;
5. elect and discharge the president;
6. elect and discharge the vice president;
7. elect and discharge members of supervisory board;
8. elect and discharge the representative of the associate members in the executive board;
9. elect and discharge members of committees;
10. elect and discharge members of the Center for Corporate Governance.

Article 21
General Assembly – Decision making
The General Assembly may be held if a simple majority of members (50% plus one vote) are present.
The General Assembly shall adopt decisions by a simple majority of the votes present, unless the law or this Statute states otherwise.

Article 22
President
The President is elected by the General Assembly from the ranks of Association members, for a four-year term. The basic functions of the President are to:
1. represent the Association;
2. prepare, convene and preside over the General Assembly;
3. prepare, convene and preside over the sessions of the Executive Board;
4. prepare the annual plan and the budget;
5. prepare the annual report;
6. propose members of the Executive Board to the General Assembly;
7. perform other duties defined by this Statute and the regulations of the Association.

Article 23
Vice President
The Vice President is elected by the General Assembly, upon proposal of the President, from the ranks of Association members or associate members, for a four-year term.
The Vice President represents the President and fulfils other relevant duties delegated by the President.
Article 24
Executive Board
Executive Board has five members, with a four-year mandate. In addition to the President and the Vice President, other members of the Executive Board are the President of the Ethics Committee, President of the Admissions Committee and a representative of associate members.

Article 25
Executive Board - Authority
Executive board is the executive body of the Association which attends to accomplishing the objectives of the Association set by this Statute and the annual plan that is adopted by the General Assembly.
Executive Board fulfils the following functions:
1. executes decisions of the General Assembly;
2. established cooperation with similar associations and organizations;
3. coordinates activities of the Center for Corporate Governance;
4. coordinates activities of permanent and temporary committees;
5. approves acquiring and renewal of membership and associate membership status;
6. initiates amendments to the Statute;
7. performs other duties defined by this Statute and the regulations of the Association.

Article 26
Sessions of the Executive Board
President of the Association convokes sessions of the Executive Board, as needed.
President of the Association is obliged to convoke a session of the Executive Board upon request of one member of the Executive Board or one third of members of the General Assembly.
In case the President of the association is unable to convoke the executive board, the Vice President takes on this task.
President directs the session of the Executive Board.
The Executive Board shall adopt decisions by a simple majority of the votes present. In the event of a tied vote, the chairperson’s vote will have the deciding vote.
Executive board is accountable for its work to the General Assembly and reports to the General Assembly.
Article 27
Ethics Committee
Ethics Committee members are elected and discharged by the General Assembly upon proposal of the President of the Association for a period of four years. The Ethics Committee comprises five members who shall elect the President from among themselves.
Ethics Committee monitors whether the behavior of members, associate members and candidates corresponds to the Code of Ethics of the Association and the endorsed Code of Corporate Governance giving the opinion to the Association’s governing bodies.
When the Ethics Committee finds that the behavior of a member, associate member or candidate differs from the Code of Ethics and the endorsed Code of Corporate Governance, the Ethics Committee recommends the loss of status of a member in the association, also terminating the validity of the certificate of corporative director, or the Ethics Committee disapproves a candidate’s election into the Association.
Ethics Committee proposes to the General Assembly any amendments that it deems necessary to the Code Ethics or the Code of Corporate Governance.




Article 28
Admissions Committee
Admissions Committee members are elected and discharged by the General Assembly upon proposal of the President of the Association for a period of four years. Admissions Committee comprises five members who shall elect the President from among themselves.
Admissions Committee verifies the fulfillment of conditions for acquiring the status of a candidate for membership and associate membership, proposes candidates to the Center for Corporate Governance and cooperates with it regarding the Programme of Education and Training.
Admissions Committee gives a proposal for membership in the Association triggered by the confirmation letter according the fulfillment of conditions issued by the Center for Corporate Governance аs well as the opinion letter issued by the Ethics Committee. This proposal is released to the Association’s governing bodies for decision making.

Article 29
Supervisory Board
The General Assembly elects the Supervisory Board members upon proposal of the President of the Association for the period of four years.
The Supervisory Board comprises three members, one of which is a member of the General Assembly of the Association and two of which are distinguished representative of the community at large. The Supervisory Board is headed by the President.
A member of the Supervisory Board may not be a member of the Executive Board at the same time.
The Supervisory Board supervises the financial and material functioning of the Association.
The Supervisory Board takes measures to prevent and protect members of the Association from any breaches of rights provided by this Statute and sanctions unethical behavior in doing business.
Association’s bodies are obliged to provide the Supervisory Board with necessary data and information for achieving its scopes. The Supervisory Board notifies the President and the Executive Board without delay concerning any irregularities.
The Supervisory Board submits reports at each session of the General Assembly.


IV FUNDS OF THE ASSOCIATION

Article 30
Fundraising
To achieve objectives set in this Statute, the Association secures financial support from:
1. membership subscriptions;
2. sponsorship and donations;
3. other sources, in accordance with the law.

Article 30
Disbursement of funds
Funds of the Association are disbursed according to the annual work plan and the financial plan.


V TERMINATION OF THE ASSOCIATION

Article 32
Conditions for termination of existence
The Association terminates its existence in case there are no necessary conditions for achieving the objectives of the Association, when the number of members is less than that required by Law and in other circumstances envisaged by Law.
The General Assembly of the Association shall make the decision about the termination of the Association pursuant to the Law.
In case of termination of work of the Association and after balancing all payments, the assets of the Association will be equally divided and relegated to the founders of the Association.





VI TRANSITIONAL AND FINAL PROVISIONS

Article 33
This Statute comes into effect on the day of its adoption by the Founding General Assembly of the Association and shall be implemented from the day of the registration by the competent authority.
